Terms of Service

Agreement

By purchasing, downloading, installing, or using ExcelSQLMaster, you agree to be bound by these terms. If you do not agree, do not use the software. These terms constitute the entire agreement between you and ExcelSQLMaster and supersede all prior agreements or communications.

License

A subscription grants you a personal, non-exclusive, non-transferable, revocable license to use ExcelSQLMaster on one machine at a time. You may not redistribute, sublicense, sell, lease, reverse engineer, decompile, disassemble, or create derivative works of the software. You may not share, publish, or transfer your license key to any other person. Each license key is valid for a single user only. Any unauthorised use automatically terminates your license.

Intellectual Property

ExcelSQLMaster and all associated intellectual property rights, including source code, object code, design, structure, and documentation, remain the exclusive property of the developer. Your subscription grants a license to use the software, not ownership. All rights not expressly granted are reserved. ExcelSQLMaster incorporates third-party open-source components, including DuckDB, which are subject to their respective licenses.

License Activation and Verification

After purchase, Paddle sends you a license key by email. ExcelSQLMaster requires an active license key to operate. The software verifies your license key with Paddle each time it opens. An internet connection is required for this verification. If your subscription has expired, been cancelled, or your license key has been revoked, the software will not function. We are not liable for any disruption caused by failed license verification due to network issues on your end.

Ordering and Billing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is subject to both these terms and Paddle's Buyer Terms.

Subscriptions and Automatic Renewal

Subscriptions renew automatically at the end of each billing period at the then-current price. You can cancel your subscription at any time through your Paddle account. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time. We may change subscription prices with reasonable notice. Continued use after a price change constitutes acceptance of the new price.

Refunds

Refund requests are handled exclusively by Paddle in accordance with our Refund Policy and applicable consumer protection laws. We do not process refunds directly. See our Refund Policy page for details.

Software Delivery

ExcelSQLMaster is delivered as a downloadable .xll file through Paddle after purchase. The software runs locally on your Windows machine inside Microsoft Excel. You are responsible for ensuring your system meets the requirements before purchase.

System Requirements

64-bit Microsoft Excel on Windows: Excel 2016, 2019, 2021, 2024, or Microsoft 365. An internet connection is required each time the software opens for license verification. macOS is not supported. We do not guarantee compatibility with future versions of Excel or Windows.

No Obligation to Update

We may release updates, patches, or new versions at our sole discretion. We are under no obligation to provide updates, maintenance, or support. If updates are released, they may be subject to additional or revised terms.

Acceptable Use

You may not use ExcelSQLMaster for any unlawful purpose or in violation of any applicable laws. You may not use the software to access data you do not have the legal right to access. You are solely responsible for ensuring your use complies with all applicable laws in your jurisdiction.

Data and Privacy

ExcelSQLMaster processes all data locally on your machine. The software does not transmit your data to any external server. The only network communication is license key verification with Paddle. See our Privacy Policy for details.

Data Loss and Backups

You are solely responsible for your data, including maintaining adequate backups. We are not responsible for any data loss, corruption, damage, or unintended modifications resulting from your use of the software, regardless of cause.

Termination

We reserve the right to revoke your license immediately and without notice if you violate these terms. No refund will be issued for licenses revoked due to a violation. Upon termination, you must immediately cease using the software and delete all copies.

Disclaimer of Warranties

EXCELSQLMASTER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR COMPATIBLE WITH YOUR SPECIFIC DATA SOURCES OR CONFIGURATIONS. YOUR USE OF THE SOFTWARE IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR REVENUE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SUBSCRIPTION IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless ExcelSQLMaster and its developer from any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your use of the software, your violation of these terms, or your violation of any applicable law.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, pandemics, or third-party service outages including Paddle.

Severability

If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

Dispute Resolution

Any dispute arising from these terms or your use of the software shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against us.

Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Age Requirement

You must be at least 18 years old to purchase and use ExcelSQLMaster.

Changes

We may update these terms at any time. Changes take effect upon posting to this page. Continued use of the software after changes constitutes acceptance of the revised terms.
